Terms of Service

1. Acceptance of Terms

By accessing or using the Fleetwise platform ("Service"), you agree to be bound by these Terms. If you are using the Service on behalf of an organization (e.g., an Automotive OEM), you represent that you have the authority to bind that organization to these Terms.

2. The Service

Fleetwise provides a SaaS platform for automotive fleet management, allocation, and tracking. We grant you a non-exclusive, non-transferable, limited right to access and use the Service for your internal business operations during the subscription term.

3. Intellectual Property Rights

A. Our IP

Fleetwise, including its code, design, "Oscar" AI logic, algorithms, and the "Fleetwise" brand, remains the exclusive property of Wise Applications Ltd.

B. Your Data

You retain all rights, title, and interest in your Customer Data (including vehicle specs, test results, and user data). You grant Fleetwise a limited license to host, process, and display this data solely to provide the Service to you.

4. AI & Automations ("Oscar")

Our Service includes AI-powered features ("Oscar"). While Oscar is designed to optimize logistics, you acknowledge that AI outputs are probabilistic suggestions.

You are responsible for validating all allocation decisions, safety checks, and compliance requirements before executing them in the physical world. Fleetwise is not liable for operational incidents resulting from automated scheduling suggestions.

5. User Obligations

You agree not to:

  • Reverse engineer, decompile, or copy the source code of the Service.
  • Use the Service to store data that is illegal or violates third-party rights.
  • Share login credentials outside of your authorized organization.

6. Limitation of Liability

To the maximum extent permitted by law:

  1. Fleetwise is provided "AS IS" without warranties of any kind.
  2. In no event shall Fleetwise be liable for any indirect, incidental, or consequential damages (including lost profits, data loss, or production delays).
  3. Our total liability for any claim arising out of these Terms shall not exceed the amount paid by you for the Service in the twelve (12) months preceding the claim.

7. Termination

We may suspend or terminate your access to the Service if you materially breach these Terms. You may terminate your subscription according to the terms of your specific Service Order / Enterprise Agreement.

8. Governing Law

These Terms are governed by the laws of England & Wales, without regard to its conflict of law principles.
